Terms of Service

1. Acceptance of Terms

By creating an account, accessing or using Subicon, you confirm that you have read, understood and accepted these Terms and our Privacy Policy. If you do not agree, you must not use the Service.

2. Description of Service

Subicon is a platform that enables creators to sell memberships, courses, communities, digital products and other content online. We provide storefronts, checkout, payment processing (via Stripe), affiliate management and related tooling.

3. Our Role as a Platform

Where you buy a product published on Subicon, the seller is the creator who publishes it, not Subicon. Subicon provides the technical and payment infrastructure that makes the sale possible. The creator is responsible for the product, its description, its delivery and any after-sales obligations, including refunds where they are owed. Subicon is not a party to that contract, save where it acts as a payment intermediary.

4. Eligibility

You must be at least 18 years old, or the age of majority in your jurisdiction, to create a seller account. Accounts created with inaccurate identity information may be suspended.

5. Account Registration

To use most features, you must create an account. You agree to provide accurate, current and complete information, and to keep it updated. You are responsible for all activity under your account and for keeping your credentials confidential.

6. Acceptable Use

You agree not to use the Service for any unlawful or prohibited purpose.

• No sale of illegal, infringing or fraudulent content
• No spam, harassment or abusive behaviour towards other users
• No reverse-engineering or attempts to compromise the Service
• Compliance with all applicable laws in your jurisdiction

7. Fees

Using Subicon to sell involves fees, which are displayed in your dashboard and on our pricing page, and which apply at the rate in force when the sale takes place. Fees vary depending on your plan, the options you enable and the way the sale is generated — for example whether it comes through an affiliate or through Discover. Payment processing fees charged by Stripe are separate and are set by Stripe. You are responsible for any taxes applicable to your sales. We may change our fees, with reasonable prior notice for changes that affect you.

8. Payouts

Payouts are processed via Stripe and sent to the payout method you have configured. Payout timing depends on your jurisdiction and Stripe’s schedule. Subicon is not liable for delays caused by Stripe or your bank. Using Subicon to receive payments requires you to accept Stripe’s own terms, and Stripe may independently request identity or business documentation from you.

9. Intellectual Property

Subicon and its underlying technology are protected by intellectual property laws. You retain all rights to the content you upload, but grant Subicon a worldwide, non-exclusive licence to host, display and distribute it as needed to operate the Service.

10. User Content

You are solely responsible for the content you publish on Subicon, including its legality, accuracy and compliance with third-party rights. Subicon may remove content that violates these Terms or applicable law.

11. Service Availability

We work to keep the Service available and reliable, but we do not guarantee uninterrupted access. Maintenance, incidents affecting our providers, or circumstances beyond our control may cause temporary interruptions.

12. Limitation of Liability

To the maximum extent permitted by law, Subicon shall not be liable for any indirect, incidental, special or consequential damages, including loss of profits, data or goodwill, arising from your use of the Service. Nothing in these Terms excludes liability that cannot lawfully be excluded.

13. Termination

You may close your account at any time. Subicon may suspend or terminate your account if you breach these Terms or if required by law. On termination, your access to the Service ends; outstanding payouts remain payable according to the standard schedule.

14. Changes to These Terms

Subicon may update these Terms from time to time. Material changes will be notified by email or via the Service. Continued use after changes take effect constitutes acceptance.

15. Governing Law and Jurisdiction

These Terms are governed by the laws of the State of New Mexico, United States, without regard to its conflict of law rules. Any dispute shall be submitted to the state or federal courts located in Bernalillo County, New Mexico. If you are a consumer resident in the European Union, the United Kingdom or another jurisdiction granting you mandatory protections, this clause does not deprive you of the protection afforded by the mandatory provisions of the law of your country of residence, nor of the right to bring proceedings before the courts of that country.
